Terms of Service

Last updated: October 13, 2026

Article 1 (Purpose)

These Terms of Service ("Terms") govern the rights, obligations, and responsibilities between RRLLAB ("Company") and users regarding the use of the application "Omni AI Workspace" (displayed in-app as "Omni Workspace") ("Service"). These Terms apply equally to the desktop app (Windows, macOS) and the mobile app (iOS, Android).

Article 2 (Posting and Effect of these Terms)

  1. The Company posts these Terms on its website or within the Service so that users can easily review them.
  2. A service agreement is formed when a user agrees to these Terms and the Company accepts the user's use of the Service.
  3. Before obtaining a user's agreement, the Company will clearly present important matters such as paid subscriptions, automatic renewal, cancellation, refunds, and limitation of liability.

Article 3 (Nature of the Service)

  1. The Service is independent software that allows users to access multiple external AI web services — including Claude, ChatGPT, Gemini, Grok, and Perplexity ("External AI Services") — together within a single application screen.
  2. The Company is not affiliated with, endorsed by, or partnered with Anthropic, OpenAI, Google, xAI, Perplexity, or any other provider of an External AI Service, and the Service is not an official product of those companies.
  3. The Service brings together the web interfaces of External AI Services and provides workspace management, input assistance, notes, and other convenience features to help users use them more effectively. Responses from External AI Services are generated and provided solely by the respective External AI Service provider; the Company does not generate or control their content.

Article 4 (External AI Service Accounts and Terms)

  1. Users must independently create and manage their own accounts with each External AI Service they wish to use through the Service.
  2. Subscription fees, pricing, terms of service, and privacy policies for each External AI Service are governed solely by that service provider's own policies, and the Company has no involvement in them.
  3. Users are solely responsible for separately reviewing and complying with the minimum age requirements, parental consent requirements, content policies, and other terms of use set by each External AI Service.
  4. Certain features of the Service may become limited or stop functioning correctly due to policy changes, interface changes, outages, or interruptions on the part of an External AI Service. Except where caused by the Company's own willful misconduct or negligence, the Company is not liable for damages arising from such external causes.

Article 5 (Eligibility and Age Restriction)

  1. Users must be at least 18 years of age to use the Service.
  2. Even if a user is 18 years of age or older, if the user is considered a minor under the laws of their place of residence, the user must obtain the consent of a parent or legal guardian before using the Service.
  3. Each External AI Service integrated within the Service may impose its own separate minimum age requirements and parental consent procedures. Users are responsible for independently reviewing and complying with those requirements on each respective service. The Company does not perform or guarantee age verification on behalf of any External AI Service.

Article 6 (Registration and Accounts)

  1. Users may create a Service account through methods designated by the Company (such as Google account or Apple account sign-in). The available sign-in methods may change in line with platform policies, and any change will be communicated within the Service.
  2. If a user uses Apple's "Hide My Email" feature at sign-in, the Company receives a private relay address generated by Apple instead of the user's actual email address. In that case the Company's notices and identity verification are based on that relay address, and if the user stops forwarding for that address in their Apple settings, the Company's notices may not reach them.
  3. Users are responsible for managing their own account credentials and may not share or lend their account to any third party.
  4. The Company is not liable for any disadvantage arising from a user's failure to properly manage their account information, except where such disadvantage results from the Company's willful misconduct or negligence.

Article 7 (Provision and Modification of the Service)

  1. The Company provides the Service in Free and paid Pro tiers. Pro is available as a recurring subscription or as a Lifetime Pass purchased with a single payment. The features included in each tier are described within the Service or on the Company's website.
  2. The Company may modify all or part of the Service's content or features due to operational or technical necessity, and will provide advance notice of such changes. In urgent cases, such as critical security issues, notice may be given after the change.
  3. Where reasonable operational or technical grounds exist, the Company may discontinue all or part of the Service. The Company will provide notice within a reasonable period before any change or discontinuation that materially affects users, except that notice may be given afterward in cases of urgent security issues, legal obligations, or circumstances beyond the Company's control.
  4. If, due to circumstances attributable to the Company, a paid service is permanently discontinued or a core feature is materially reduced during a period the user has already paid for (for a Lifetime Pass, the period set out in Article 2-2 of the [Refund & Subscription Policy]), the treatment of the unused period will be governed by applicable law and the [Refund & Subscription Policy].

Article 8 (Fees and Payment)

  1. Fees, billing cycles, automatic renewal, cancellation, and refunds for the Pro subscription and the Lifetime Pass are described on the pre-payment screen and in the separate [Refund & Subscription Policy]. If there is any conflict between applicable law and the [Refund & Subscription Policy], applicable law prevails.
  2. Payments may be processed through a payment service provider, app marketplace, or Merchant of Record designated by the Company. The party actually processing payment and issuing receipts can be confirmed on the payment screen.
  3. Recurring subscriptions automatically renew according to the billing cycle indicated at the time of payment. The Lifetime Pass is a one-time payment and does not renew. Users may cancel their subscription before the next renewal. However, a subscription purchased through an app marketplace belongs to that app marketplace account, cannot be canceled from within the Service, and must be canceled by the user directly in that app marketplace (see Article 5 of the [Refund & Subscription Policy] for the specific paths). For a standard cancellation, users retain access to Pro features until the end of the period already paid for. However, cases involving a user's request for immediate cancellation or refund, or a restriction of use due to a breach of these Terms, are governed by applicable law and the [Refund & Subscription Policy].
  4. Taxes, payment methods, receipt issuance, and payment processing procedures may also be governed by the policies of the relevant payment service provider or app marketplace.

Article 9 (User Content and Data)

  1. Users retain ownership of content they save within the Service, such as memos, prompt library entries, and workspace settings.
  2. Users are solely responsible for ensuring that any content they input or save does not violate applicable law.
  3. Content that users input or upload directly into an External AI Service is transmitted directly to that External AI Service, and the rights and responsibilities relating to such content are governed by that service's own terms.
  4. The Company may process user content only to the extent necessary to provide the Service, synchronize data across devices, maintain security, and fulfill legal obligations, as further described in the [Privacy Policy]. Such processing does not transfer ownership of user content to the Company.

Article 10 (Prohibited Conduct)

Users must not engage in any of the following:

  1. Using the Service in violation of applicable law
  2. Interfering with the normal operation of the Service, including unauthorized automated access or actions that impose excessive load on Company servers
  3. Infringing the intellectual property rights of the Company or any third party
  4. Reverse engineering, decompiling, disassembling, or attempting to extract the source code of the Service, except where expressly permitted by applicable law
  5. Using another user's account without authorization, or improperly sharing, transferring, or lending an account
  6. Using the Service for the purpose of circumventing or violating the terms of service of any External AI Service
  7. Any other conduct that violates applicable law or these Terms

Article 11 (Restriction of Use and Termination)

  1. If a user engages in conduct prohibited under Article 10, the Company may restrict use of the Service or suspend or delete the user's account after providing notice, except that notice may be given afterward in urgent cases.
  2. Users may terminate their agreement with the Company at any time by using the account deletion feature within the Service (Settings → Privacy → Delete account).
  3. If a user has an active paid subscription at the time of termination, its treatment is governed by the [Refund & Subscription Policy]. In particular, a subscription purchased through an app marketplace is not canceled by deleting the account, so users must cancel it in that app marketplace before deleting their account.

Article 12 (Intellectual Property)

  1. Copyright and other intellectual property rights in elements created by the Company, including the Service's software, user interface, design, logos, and documentation, belong to the Company, excluding user content and content provided by External AI Services.
  2. The Company grants users a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
  3. Users may not reproduce, modify, sell, or redistribute software, designs, or documentation created by the Company, except as permitted by applicable law or expressly authorized by the Company.
  4. The rights and terms of use applicable to output generated by an External AI Service are governed by that External AI Service's own terms.
  5. The names, logos, and trademarks of External AI Services are the property of their respective owners, and the Company claims no rights therein.

Article 13 (Disclaimer)

  1. The Company is not liable for failure to provide the Service due to causes beyond its reasonable control and without the Company's willful misconduct or negligence, including force majeure, network failures, or outages of or policy changes by an External AI Service.
  2. The Company does not warrant the accuracy, completeness, currency, or fitness for a particular purpose of responses generated by any External AI Service. Users should independently verify such information before making important decisions.
  3. Responses from External AI Services do not substitute for professional advice in areas such as medicine, law, tax, or finance.
  4. The Company does not guarantee that use of the Service alone will achieve any particular business outcome or increase in productivity.
  5. This Article does not limit any liability of the Company that cannot be limited or excluded under applicable law.

Article 14 (Limitation of Liability)

Where the Company causes damage to a user through willful misconduct or negligence, the Company will compensate for that damage in accordance with applicable law. To the extent permitted by applicable law, the Company's liability is limited to direct and ordinary damages, and the Company's total liability shall not exceed the greater of (a) the total fees paid by the user for use of the Service during the 12 months preceding the event giving rise to the claim, or (b) KRW 100,000. This limit does not apply to damage caused by the Company's willful misconduct or gross negligence, damage to life or physical safety, statutory liability relating to the protection of personal information, or any other liability that cannot be limited under applicable law.

Article 15 (Amendment of Terms)

  1. The Company may amend these Terms to the extent permitted by applicable law.
  2. When amending these Terms, the Company will announce the effective date and reasons for the amendment through in-Service notices or on its website at least 7 days before the effective date (or at least 30 days before the effective date for changes that are material or disadvantageous to users).
  3. Users may decline to agree to amended Terms and may terminate their service agreement before the amended Terms take effect. In that case, the treatment of any active paid subscription is governed by applicable law and the [Refund & Subscription Policy].
  4. Where a change is materially disadvantageous to users, or where applicable law requires separate consent, the Company will obtain such consent separately from users.
  5. The Company will not apply amended Terms retroactively to conduct that occurred before the effective date, except where doing so benefits the user or the user has expressly agreed.

Article 16 (Governing Law and Jurisdiction)

These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea. Any litigation arising from a dispute related to the Service shall be subject to the jurisdiction of the competent court as determined under the Civil Procedure Act and other applicable law.

Article 17 (Language)

These Terms may be provided in Korean and English. In the event of any inconsistency between the two versions, the Korean version shall prevail. Nothing in this provision limits any mandatory consumer rights available under the laws applicable in the user's place of residence.
